These Terms & Conditions (“Terms”) govern your use of cogniprism.com (the “Site”) and its free tools, operated by CogniPrism (“we,” “us,” or “our”).

1. Conditions of Use

By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. Scope of These Terms

These Terms cover the Site and its free tools, including the Hidden Weight Quiz, the Stress Impact Calculator, and downloadable resources. Paid consulting engagements are governed by a separate signed services agreement, which takes precedence over these Terms for that engagement.

3. Privacy Policy

Our Privacy Policy describes how we collect and use your information.

4. General Restrictions

You agree not to:

  • Copy, republish, or redistribute Site content without our permission
  • Sell, sublicense, or otherwise commercialize Site content
  • Use the Site in a way that damages, disables, or impairs it, or that interferes with others’ access to it
  • Use the Site in violation of any applicable law, or in a way that causes harm to CogniPrism or any other person or entity
  • Use any automated tool, bot, or script to scrape, harvest, or extract data or content from the Site, including to train, fine-tune, or develop any artificial intelligence or machine learning model, without our prior written permission
  • Use the Site to advertise or market unrelated products or services

We may restrict access to any area of the Site.

5. Age Restriction

You must be at least 18 years old to use the Site. By using the Site, you confirm that you are at least 18 and legally able to agree to these Terms. We are not responsible for any misrepresentation of age.

6. No Professional Advice

The Site’s content, including the Hidden Weight Quiz, the Stress Impact Calculator, and downloadable resources, is for general informational and educational purposes. It does not replace professional consulting, medical, psychological, legal, or financial advice. Stress Impact Calculator results are estimates based on the figures you enter and do not guarantee actual outcomes. You are responsible for decisions you make based on the Site’s content.

7. Intellectual Property

All content on the Site belongs to CogniPrism or its licensors and is protected by copyright, trademark, and other intellectual property laws. This includes text, graphics, and the following frameworks and tools:

  • CogniPrism Organizational Stress Model™
  • CogniPrism Organizational Stress Test™ (COST™)
  • 7C Stress-Resilience Model™
  • Hidden Weight Quiz™
  • Stress Impact Calculator™

You may not reproduce, distribute, or create derivative works from this content without our prior written permission. This includes using it to train, fine-tune, or develop any artificial intelligence or machine learning model.

8. Testimonials and Feedback

If you provide a testimonial, review, or feedback, you permit us to use, edit, and publish it in our marketing, with attribution as we mutually agree. You may ask us to update or remove a testimonial at any time.

9. Third-Party Tools

The Site uses third-party tools, including scheduling, quiz, and email platforms. We do not control these services and are not responsible for their content, availability, or practices. Your use of them is subject to their own terms and privacy policies.

10. No Warranties

The Site is provided “as is” and “as available,” with all faults. CogniPrism makes no express or implied warranties of any kind related to the Site or its content, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, CogniPrism and its affiliates, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Site or its free tools, even if we have been advised of the possibility of such damages. CogniPrism’s total liability for any claim arising from your use of the Site will not exceed one hundred dollars ($100).

12. Indemnification

You agree to indemnify and hold harmless CogniPrism and its affiliates, officers, employees, and agents from any claims, damages, or expenses, including reasonable attorney’s fees, arising from your misuse of the Site or violation of these Terms. CogniPrism reserves the right to select its own legal counsel in any such matter.

13. Dispute Resolution and Arbitration

Any dispute arising out of or relating to your use of the Site or its free tools will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court, and either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights. The arbitration will be conducted by a single arbitrator in North Carolina, or remotely by mutual agreement, and judgment on the arbitration award may be entered in any court having jurisdiction. Each party will bear its own costs and attorney’s fees unless the arbitrator decides otherwise.

You and CogniPrism each waive the right to a jury trial and to participate in a class action.

14. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law principles.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms and our Privacy Policy are the entire agreement between you and CogniPrism regarding the Site and supersede any prior agreements on this subject. If we do not enforce a provision, we may still enforce it later.

17. Changes to These Terms

We may update these Terms. We will update the effective date at the top of this page when we do. Your continued use of the Site after an update means you accept the revised Terms.
